Specific deliverables, timelines, and pricing are outlined in client proposals or signed agreements. We reserve the right to add, modify, or discontinue any Services at our discretion.

2. Eligibility

- You must be at least 18 years of age and legally capable of entering into binding contracts.

- By using our Services, you represent and warrant that the information you provide is accurate and complete.

- If you use our Services on behalf of a business or organization, you confirm that you are authorized to bind that entity to these Terms.

3. Payments and Billing

- All payments must be made in accordance with the terms stated on invoices, proposals, or service agreements.

- We may require upfront deposits or milestone-based payments before delivering Services.

- Payments are due in U.S. Dollars unless otherwise agreed in writing.

- Late payments may result in suspension or termination of Services.

- You are responsible for any transaction fees, currency conversion costs, or taxes associated with payments.

4. Client Responsibilities

To ensure effective delivery of Services, you agree to:

- Provide accurate, current, and complete information required for the project.

- Respond to requests for approvals, feedback, and materials in a timely manner.

- Ensure that any content (logos, text, images, etc.) you provide does not infringe on third-party rights or violate applicable laws.

Failure to provide necessary information or approvals may delay project timelines.

5. Intellectual Property

- Our Content: All materials, strategies, software, and documentation created by AZD-MEDIA LLC remain our intellectual property unless

otherwise stated in a written agreement.

- Client Content: You retain ownership of all intellectual property you provide to us. You grant us a non-exclusive, royalty-free license to use

such content solely for the purpose of delivering the Services.

- Deliverables: Upon full payment, ownership of final deliverables may transfer to the client as agreed in writing.

6. Confidentiality

Both parties agree to keep all confidential information (including business strategies, financial details, and trade secrets) secure and not disclose it to third parties, except as required by law or with prior written consent.

7. Limitation of Liability

- Our Services are provided “as is” without warranties of any kind.

- We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of revenue, profits, or data.

- Our total liability for any claim related to the Services will not exceed the total fees paid by you for the Services during the 3 months

preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless AZD-MEDIA LLC, its members, employees, and contractors from any claims, damages, or expenses arising from:

- Your use of the Services,

- Violation of these Terms,

- Infringement of third-party rights.

9. Termination

We reserve the right to suspend or terminate your access to the Services if you:

- Fail to pay required fees,

- Breach these Terms, or

- Engage in unlawful, fraudulent, or abusive conduct.

Upon termination, your right to use the Services immediately ceases.

10. Modifications to Terms

We may update these Terms at any time. Changes will be posted on this page with a “Last Updated” date. Continued use of our Services after changes are posted constitutes your acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States.

Any disputes will be resolved exclusively in the state or federal courts located in Wyoming.

Before initiating formal legal action, both parties agree to attempt good-faith resolution through negotiation or mediation.
